Orders Orders are considered valid if received and confirmed in written form.   Prices Prices are to be understood on Ex Works basis unless otherwise noted. Prices are always stated net excluding any value added tax (VAT). For deliveries within the EU, the prevailing Hungarian VAT will be charged, added to the prices upon invoicing, unless buyer’s valid EU VAT registration nr, is provided whereby we are allowed to charge only the net prices. VAT will not be added to export invoices for deliveries destinated outside the EU provided the goods are cleared for exports in Hungary in accordance with the relevant prevailing government regulations.

Payment

Invoiced amounts are payable according to the agreed written terms and in accordance with modes, dates, time limits stated on the respective invoice.

Both buyer and Lénárd Co. Ltd. bear exclusively their own banker’s costs related to payment.

For late payments we charge double amount of the prevailing interest rate charged by the National Bank of Hungary.

Delivery / Place of performance

If transport arrangement is requested, consignments shall be shipped uninsured at the risk and for account of buyer. Place of performance is Budapest, premises of Lénárd Co. Ltd.
If other delivery terms are agreed upon, these are to be understood in compliance with the latest INCOTERMS usage.

Reservation of Title

The delivered goods shall remain the property of Lénárd Co. Ltd. until respective payments have been made in full.

Tolerances - Printing, Size

Lénárd Co.Ltd. does its utmost to obtain results that match buyers’s originals.
To this effect, where possible, colors should be given in Pantone, HKS or RAL and/or designs/photos be made with the proper softwares and with the highest possible resolutions (dpi)
We do however reserve the right to slight variations of colors resulting from the technical possibilities of textile printing . Widths and lenghts of finished products may vary by +/-5%.

Designs / Copyrights

Our prices cover production based on graphics/artwork provided by our buyers according to our instructions for PC sofwares, resolution, formats. If conversions, modifications are necessary by us, we will charge our hourly rate.
It is the responsibility of the buyer to ensure that copyrights, trademarks, or other property rights of 3rd parties are respected in print data and provided/requested artwork and Lénárd Co. Ltd. is not in any way responsible for any violation of such rights whatsoever arising from the acceptance and performance of orders from buyers.

Warranty / Complaints

Lénárd Co. Ltd. warrants its products against defects of material and workmanship. Any relevant complaint must be filed with us in written form not later than 3 calendar days counted from receipt of goods (including partial deliveries). Warranty does not cover deterioration due to wear and tear in usage, nor is there arny warranty for our textiles for outdoors use due to widely differing and possibly extreme weather and environmental conditions.
In case of a justified claim, we reserve the right to remedy if possible, or to replace defective goods within a reasonable period.

We are not responsible for any damage to the goods if parcels are received in a damaged condition, in which case buyer must state this fact in written form to the forwarder immediately at time of receipt of the parcel.

Applicable law / Arbitration

The law governing the contractual relations falling under these Terms and Conditions is the Hungarian Civil Code.

All disputes arising from performance under these Terms and Conditions that are not settled amicably between the parties shall be settled final and binding with the Arbitration Court of the Budapest Chamber of Industry and Commerce.
